These Terms & Conditions (“Terms“) govern your use of our website grovexadigitalsolutions.com (“Website“) and the digital marketing services we provide (“Services“). By using our Website or engaging our Services, you agree to these Terms. If you do not agree, please do not use our Website or Services.

In these Terms, “we,” “us,” “our” and “Grovexa” refer to Grovexa Digital Solutions, and “you,” “your” and “Client” refer to any visitor of the Website or any person or business that engages our Services.

1. OUR SERVICES

Grovexa Digital Solutions provides digital marketing and related services, including website designing, e-commerce website designing, search engine optimisation (SEO), Meta (Facebook and Instagram) advertising, social media management, graphic designing, and account management for online marketplaces such as Meesho, Flipkart and Amazon.

The exact services, deliverables and pricing for each Client are set out in a separate proposal, quotation, invoice or written agreement shared with you (together, the “Proposal“). If anything in a Proposal conflicts with these Terms, the Proposal will apply for that engagement.

2. PROPOSALS, QUOTATIONS AND SCOPE OF WORK

• Our quotations are valid for 15 days from the date they are shared, unless stated otherwise.
• Work begins only after you approve the Proposal (in writing, by email or on WhatsApp) and make any advance payment that is due.
• Any work outside the agreed scope, such as extra pages, additional products, new campaigns or extra design revisions, will be treated as additional work and quoted separately.

3. PAYMENTS AND INVOICING

• One-time projects (for example, website development or logo design) usually require an advance payment before work starts, with the balance due before final delivery or website launch. The exact split is mentioned in your Proposal.
• Monthly services (for example, SEO, social media management, ads management or marketplace account management) are billed in advance at the start of each billing cycle.
• All prices are in Indian Rupees (INR). Applicable taxes, including GST where applicable, will be added as per law.
• Payments are due by the date shown on the invoice. If payment is delayed, we may pause the Services until the outstanding amount is cleared.
• Website files, account access handover or final design files are released only after full payment of the relevant invoice.

4. CLIENT RESPONSIBILITIES

To help us deliver the Services on time, you agree to:

• Provide accurate business information, content, images, product details and approvals in a timely manner.
• Give us the access we reasonably need, such as website hosting, domain, social media pages, ad accounts or seller accounts, and keep your own login credentials secure.
• Make sure that any content, images, logos or product information you share with us is owned by you or used with permission, and does not infringe anyone else’s rights.
• Make sure that your products, services and business practices comply with applicable laws and with the policies of the platforms we work on for you.

5. TIMELINES AND REVISIONS

We will share estimated timelines for each project. These timelines depend on receiving your content, feedback and approvals on time. Delays in providing these may extend the delivery date.

The number of revision rounds included in a project is mentioned in your Proposal. Additional revisions, or changes requested after final approval, may be charged separately.

6. THIRD-PARTY PLATFORMS AND AD SPEND

• Many of our Services are delivered on third-party platforms such as Google, Meta (Facebook and Instagram), Amazon, Flipkart, Meesho, WordPress, Shopify and hosting providers. Your use of these platforms is subject to their own terms and policies.
• Advertising budgets (“ad spend“) are paid directly to the advertising platform or charged separately, and are not included in our management fees unless the Proposal clearly says so. Ad spend once used by the platform is not refundable by us.
• We are not responsible for decisions taken by these platforms, including ad disapprovals, account restrictions or suspensions, listing removals, algorithm or policy changes, outages, or changes in fees. We will, however, do our reasonable best to help you resolve such issues.

7. NO GUARANTEE OF RESULTS

Digital marketing results depend on many factors outside our control, including competition, market demand, platform algorithms, your pricing, product quality and budget. While we work hard to improve your online visibility, leads and sales, we do not guarantee any specific ranking, traffic, number of leads, sales, followers or return on investment. Any figures or estimates shared with you are indicative only.

8. INTELLECTUAL PROPERTY

• After you pay the full amount due for a project, ownership of the final deliverables created specifically for you (such as your website design, logo or creatives) passes to you.
• We keep ownership of our own pre-existing materials, templates, tools, methods and know-how. Third-party items such as themes, plugins, fonts and stock images remain subject to their own licences.
• Unless you ask us in writing not to, we may display work done for you (such as your website or designs) in our portfolio and marketing materials, without sharing any confidential information.
• All content on this Website, including text, graphics, logos and design, belongs to Grovexa Digital Solutions or its licensors and may not be copied or reused without our written permission.

9. CONFIDENTIALITY

We treat your business information, account access and data as confidential and use it only to provide the Services. We will not share it with others except where needed to deliver the Services (for example, with platforms or trusted service providers), or where required by law. We expect you to keep our pricing, proposals and internal processes confidential as well.

10. CANCELLATION, TERMINATION AND REFUNDS

• Monthly services can be cancelled by either party with at least 15 days’ written notice before the next billing cycle. Fees already paid for the current billing cycle are not refundable.
• One-time projects: if you cancel a project after work has started, the advance payment is not refundable, and you agree to pay for any work completed beyond the value of the advance.
• We may suspend or end the Services if payments are overdue, if you breach these Terms, or if continuing the work would break any law or platform policy.
• On termination, we will hand over the work and access that have been fully paid for.

11. USE OF OUR WEBSITE

You agree to use our Website only for lawful purposes. You must not attempt to gain unauthorised access to the Website, interfere with its working, upload harmful code, or use the Website to send spam or misleading information. Information on the Website is provided for general purposes only and may change without notice. The Website may contain links to third-party websites, which we do not control and for which we are not responsible.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Grovexa Digital Solutions will not be liable for any indirect, incidental or consequential loss, including loss of profits, revenue, data or business opportunities, arising from the use of our Website or Services. Our total liability for any claim relating to a Service will not exceed the amount you paid us for that specific Service in the three (3) months before the claim arose.

13. INDEMNITY

You agree to indemnify and hold Grovexa Digital Solutions harmless from any claims, losses or expenses (including reasonable legal fees) arising from content or materials you provide to us, your products or services, your breach of these Terms, or your violation of any law or third-party rights.

14. PRIVACY

Your use of our Website and Services is also governed by our Privacy Policy, which explains how we collect, use and protect your personal information.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continued use of our Website or Services after changes are posted means you accept the updated Terms. Changes will not affect Proposals already agreed in writing.

16. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of India. Any dispute arising from these Terms or our Services will first be discussed in good faith to reach an amicable solution. If it cannot be resolved this way, it will be subject to the exclusive jurisdiction of the courts in Delhi, India.
